Welcome to Cadence ("we," "us," "our," or "Cadence"). These Terms and Conditions ("Terms") govern your access to and use of the Cadence website, mobile applications, and related services (collectively, the "Service") operated by Cadence Inc.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that:

  • You are at least 18 years old (or the age of majority in your jurisdiction)
  • You have the legal capacity to enter into a binding agreement
  • You will comply with these Terms and all applicable laws

2. Description of Service

Cadence is an AI-powered interview preparation platform that helps users practice for job interviews. Our Service includes:

  • AI-generated interview questions tailored to specific job postings and user profiles
  • Voice-based interview simulation
  • AI-driven feedback on interview responses
  • Profile and progress tracking
  • Integration with third-party services (e.g., LinkedIn)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts

3.1 Registration

To use certain features, you must create an account. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

3.3 Account Termination

We may suspend or terminate your account at our discretion for violations of these Terms or for any other reason permitted by law.

4. User Conduct and Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Upload false, misleading, or fraudulent information
  • Upload content that infringes on intellectual property rights
  • Attempt to reverse engineer, decompile, or otherwise tamper with the Service

5. User Content

5.1 Your Content

You retain ownership of all content you upload, including resumes, LinkedIn profile data, voice recordings, and interview responses ("User Content").

5.2 License to Us

By submitting User Content, you grant Cadence a worldwide, non-exclusive, royalty-free license to use, process, store, and analyze that content solely for the purpose of providing and improving the Service.

5.3 User Content Warranties

You represent and warrant that:

  • You own or have necessary rights to all User Content you submit
  • Your User Content does not violate any third-party rights
  • Your User Content is accurate and truthful

6. AI-Generated Content

6.1 Nature of AI Output

The Service uses artificial intelligence to generate interview questions, feedback, and other content. You acknowledge that:

  • AI-generated content may contain inaccuracies or errors
  • AI feedback is for practice purposes only and is not professional career advice
  • We do not guarantee any specific outcomes from using the Service

6.2 Not Professional Advice

Cadence is an interview practice tool. We do not provide professional career counseling, legal advice, or guarantees of employment outcomes. Use of the Service does not create any professional advisory relationship.

7. Third-Party Services

The Service integrates with third-party services including but not limited to:

  • LinkedIn (authentication, profile data)
  • AI providers (question generation, scoring)
  • Voice synthesis and transcription services
  • Job posting scraping services

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for third-party services or their actions.

8. Intellectual Property

8.1 Our Intellectual Property

All content, features, and functionality of the Service (excluding User Content) are the exclusive property of Cadence Inc. and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes.

9. Subscription and Payment

Some features of the Service may require a paid subscription. Subscription terms, including pricing, billing cycles, and refund policies, will be disclosed at the time of purchase. You agree to pay all fees associated with your subscription.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • AI-generated content will be accurate
  • Use of the Service will result in any specific career outcome
  • Security vulnerabilities will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADENCE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cadence Inc. and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights

14. Termination

These Terms remain in effect until terminated. You may terminate your account at any time by contacting us. We may terminate or suspend your access immediately for any reason, including violation of these Terms.

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account and User Content
  • Provisions intended to survive termination will remain in effect

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cadence Inc. regarding the Service.
